Nuvo Research Inc.
Nuvo Research Inc. was incorporated on August 22, 1983 under the laws of the Province of
Ontario as Clark Pharmaceutical Laboratories Ltd. On November 14, 1990, the articles were
amended to change the name of the Corporation from Clark Pharmaceutical Laboratories Ltd. to
Dimethaid Research Inc. On September 30, 2005, the articles were further amended to change
the name of the Corporation from Dimethaid Research Inc. to Nuvo Research Inc. On January 1, 2007
the Corporation completed a short-form amalgamation with Akorn Pharmaceuticals Canada Limited,
Excelpharm Inc., Femina Inc., Dimethaid Management Inc. and Dimethaid Manufacturing Inc. The
amalgamated entity continues as Nuvo Research Inc.
Nuvo Research Inc. has two Canadian locations. Its registered office and principal place of business is its head office
located in Mississauga, Ontario. It also operates a manufacturing facility, Nuvo Manufacturing/Fabrication Nuvo, in Varennes, Quebec
where it currently manufactures Pennsaid®.
Dimethaid AG and Dimethaid GmbH
In May 2002, the Corporation completed the acquisition of the remaining 80% of Oxo Chemie ("Oxo") from its founder Dr. F.W. Kühne.
Oxo (later renamed Dimethaid AG) is a Swiss company that developed and commercialized proprietary therapeutic products for treating immune dysfunction. The assets acquired by Nuvo included a TCDO manufacturing plant,
equipment and inventory in Wanzleben, Germany and the marketing rights for WF10 in Thailand. TCDO is
the active ingredient used to produce WF10 and Oxoferin™.
Dimethaid AG was restructured into two key entities: Dimethaid AG and Dimethaid GmbH.
Dimethaid AG retained all rights to the WF10 patents and intellectual property. Dimethaid GmbH was
incorporated as a new, wholly owned German subsidiary of the Corporation overseeing the TCDO manufacturing
facilities in Wanzleben.
In October 2004, as part of Nuvo's restructing, the Corporation transferred all shares of Dimethaid GmbH to Dimethaid AG,
making Dimethaid GmbH a wholly owned subsidiary of Dimethaid AG and entered into an agreement with Dr. Kühne that provided
him with 40% ownership in Dimethaid AG (among other things) in partial satisfaction of amounts owing to Dr. Kühne.
fqubed, Inc.
In December 2005, the Corporation acquired all of the common shares of fqubed, Inc. ("fqubed"),
a company based in San Diego, California. In cooperation with the University of California, fqubed
has developed proprietary technology, high throughput experimentation (HTE) platforms, to identify innovative formulations that can efficiently deliver
active therapeutics through the skin. Nuvo is using this technology to expand its pipeline of transdermally
delivered therapeutics.
Dimethaid International Inc. ("DII")
Dimethaid International Inc. is the corporation's international sales office. DII holds the the
non-Canadian patents, technology, trademarks and other intellectual property rights related to its transdermal drug delivery system.
Its mandate is to commercialize products that emanate from these intellectual property rights. International has two wholly owned subsidiaries,
Dimethaid (UK) Limited and Dimethaid SV Inc.
Dimethaid (UK) Limited
Dimethaid (UK) Limited is a British company that holds the marketing authorization
for Pennsaid® in the United Kingdom.
Dimethaid SV Inc.
Dimethaid SV Inc. is a St. Vincent company that holds the rights to
distribute Pennsaid® in the Caribbean.
Dimethaid Immunology Inc.
In June 1993, Dimethaid Immunology Inc. was incorporated as a wholly owned subsidiary of the Corporation.
It was responsible for the Canadian marketing and distribution of WF10, an aqueous solution of Oxo-K993
(also referred to in literature as "TCDO", or tetrachlorodecaoxygen), as well as related products developed
by Oxo Chemie AG of Switzerland ("Oxo Chemie"). Oxo Chemie (now Dimethaid AG) was purchased by the Corporation
in May 2002. Dimethaid Immunology Inc. currently has limited activity since WF10 and related products are not
currently approved for sale in Canada.
